Job Purpose:
The Junior Management Position – Legal (Company Secretariat) is designed for a qualified legal professional who can provide critical support in maintaining robust compliance with corporate laws, regulatory frameworks, and governance standards. The role entails assisting in legal advisory, documentation, regulatory reporting, and board-level governance to strengthen the organization’s legal and compliance infrastructure.
Key Responsibilities:
- Legal Compliance and Advisory:
- Ensure compliance with all relevant laws, including the Companies Act, 2017, SOE Act, 2023, Securities Act, 2015, Listed Companies (Code of Corporate Governance), 2019, and directives issued by SECP and PSX.
- Offer legal guidance on corporate governance, regulatory matters, and contracts.
- Draft, review, and vet agreements, policies, legal documents, and disclosures related to financial, sustainability, and operational reports.
- Board and Shareholder Meetings:
- Assist the Company Secretary in planning and conducting Board of Directors meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EOGMs).
- Prepare resolutions, board papers, and ensure proper documentation in compliance with statutory requirements.
- Regulatory Filings and Liaison:
- Prepare and file returns, reports, and disclosures with SECP, PSX, and other regulatory authorities.
- Act as a liaison with external legal advisors, auditors, and regulators to maintain smooth communication on compliance matters.
- Litigation and Dispute Resolution:
- Support the company in litigation, arbitration, and shareholder disputes as needed.
- Draft responses to legal notices and manage corporate litigation efficiently.
- Risk Management and Ethics:
- Identify potential legal and compliance risks, proposing effective mitigation strategies.
- Ensure adherence to corporate governance frameworks, ethical standards, and organizational policies.
- Regulatory Monitoring:
- Track and interpret updates in laws and regulations and implement necessary changes.
- Provide legal input on corporate governance structures, related-party transactions, and compliance frameworks.
- Stakeholder Communication:
- Ensure accurate and timely dissemination of legal and governance information to regulators, shareholders, and stakeholders.
- Collaborate with internal, external, and government auditors on compliance reviews and oversee implementation of their recommendations.
Education Requirements:
- Minimum of 16 years of education with a degree in Law (LLB) from an HEC-recognized university.
Professional Experience:
- A minimum of 3–4 years of professional experience is required.
Candidate Profile:
- Comprehensive knowledge of corporate governance frameworks, public sector governance, and regulatory compliance standards.
- Strong legal drafting, interpretation, and advisory skills.
