Position Title: Junior Management – Legal (Company Secretariat)

Role Overview

The selected candidate will play a vital role in maintaining comprehensive legal compliance and reinforcing corporate governance frameworks. This position requires a qualified legal professional proficient in corporate law, SECP and PSX regulations, and public sector governance protocols. The individual will support the company secretary and leadership by offering legal interpretation, drafting crucial documentation, and managing regulatory processes to ensure seamless operations.


Core Responsibilities

1. Legal Advisory & Compliance:

  • Ensure strict adherence to all relevant laws and regulations, including the Companies Act, 2017; SOE Act, 2023; Securities Act, 2015; Listed Companies (Code of Corporate Governance), 2019; SECP guidelines; and PSX Rule Book.
  • Provide legal consultation on governance matters, agreements, contracts, and regulatory challenges.
  • Draft, review, and finalize contracts, agreements, legal opinions, and internal policies.
  • Assist in preparing corporate reports, including financial, sustainability, and governance-related disclosures.

2. Board and Shareholder Support:

  • Assist in organizing Board of Directors meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EOGMs).
  • Draft board resolutions, minutes, and corporate decision records while ensuring compliance with statutory requirements.
  • Maintain accurate documentation and support corporate secretariat functions.

3. Regulatory Liaison & Filings:

  • Prepare and submit statutory returns, reports, and disclosures to SECP, PSX, and other relevant authorities in a timely manner.
  • Act as a liaison with external legal consultants, auditors, regulators, and government authorities.

4. Litigation & Dispute Resolution:

  • Represent and manage the company’s legal interests in litigation, arbitration, and dispute resolution.
  • Respond promptly to legal notices and oversee corporate legal cases in coordination with external counsel.

5. Risk Assessment & Governance:

  • Identify potential legal and compliance risks, propose effective mitigation strategies, and ensure ethical governance practices.
  • Monitor evolving laws, regulatory updates, and industry standards, implementing changes where necessary.
  • Support the development of corporate governance mechanisms, including board structures, related-party transactions, and shareholder relations.

6. Audit Coordination:

  • Collaborate with internal, external, and government auditors on compliance matters.
  • Implement audit findings and recommendations related to governance and legal frameworks.

Qualification & Experience

  • Education: A minimum of 16 years of education, preferably LLB from an HEC-recognized university. An LLM, Solicitor certification, or Bar-at-Law qualification will be an added advantage.
  • Experience: At least 3-4 years of professional experience, including 1-2 years specializing in corporate legal functions. Experience in a listed company or reputable law firm is highly desirable.

Skills & Competencies Required

  • Strong knowledge of corporate law, compliance regulations, and governance codes.
  • Excellent drafting, analytical, and advisory skills.
  • Ability to manage litigation, interpret laws, and provide legal solutions.
  • Familiarity with regulatory filings and SECP/PSX compliance requirements.
